Terms of Service

01Agreement and acceptance

These Terms of Service ("Terms") are a binding agreement between Examiverse Technologies Private Limited ("Examiverse", "we", "us") and the organisation or individual that creates an account or uses the service ("Customer", "you").

By creating an account, signing an order, or using the service, you agree to these Terms. If you accept them on behalf of an organisation, you confirm that you have authority to bind it. If you do not agree, do not use the service.

Where a Customer has signed a separate master services agreement or order form with us, that document prevails over these Terms to the extent they conflict.

02The service

Examiverse turns an organisation’s own policies and procedures into training. It writes lesson plans and courses, produces narrated training films, generates assessments from the lessons, delivers them in the languages the workforce speaks, marks them, issues certificates that third parties can verify, and keeps those records current as people join, change roles and fall due for renewal.

The service includes the website at examiverse.com, the platform at app.examiverse.com, the pages employees use to learn and sit assessments, certificate verification pages, exports such as SCORM packages and video files, and related support.

We improve the service continuously. We may change or retire a feature, but we will not materially reduce the core functionality of a paid plan during a paid term.

03Accounts, administrators and employees

• Administrators: you are responsible for everyone you give administrator access to, and for their actions in your account.
• Employees: your employees sign in with an employee number and a PIN. You are responsible for issuing those credentials to the right people and for the accuracy of the workforce data you enter or sync.
• Accurate information: registration and billing details must be accurate and kept up to date.
• Security: keep credentials confidential, and tell us at once at admin@examiverse.com if you suspect unauthorised access.
• Eligibility: the service is for organisations and working adults. It must not be used to enrol anyone under 18 without a lawful basis and any consent the law requires.

04Your content and ownership

• Your content: you keep all rights in the documents, data, images, logos and other material you upload ("Customer Content"), and in the workforce data you provide.
• What we build for you: courses, lesson plans, films, narration and assessments generated for your account ("Outputs") belong to you once the fees for them have been paid. You may use, copy, distribute and modify them without further charge.
• Licence to us: you grant us a limited licence to host, copy, process and display Customer Content and Outputs only as needed to provide, secure and support the service for you.
• No model training: we do not use Customer Content, Outputs or workforce data to train, fine-tune or improve any AI model.
• Our platform: Examiverse keeps all rights in the service itself — its software, models, presenters and voices from our library, designs, templates and documentation. Nothing in these Terms transfers those rights to you.

05AI-generated material and your review

Outputs are generated with AI and, like any draft, can contain mistakes or omissions.

• Review before release: the platform asks you to approve a lesson plan before a course is built from it. You are responsible for checking that courses and assessments accurately reflect your policies before assigning them.
• Not professional advice: Outputs are training material. They are not legal, safety, medical or regulatory advice, and they do not replace the judgement of your qualified staff.
• Your obligations stay yours: using Examiverse helps you evidence training, but you remain responsible for meeting the laws and standards that apply to your organisation.
• What a certificate records: a certificate records that a named person passed a named assessment, in a named language, on a date. It is evidence of that result, not a guarantee of that person’s future performance.

06Custom trainers, voices and likeness

You may create a custom trainer from a photograph, or use a particular voice, only if you have the written consent of the person concerned, and you will provide that consent to us on request.

You must not use the service to impersonate anyone, to create deceptive media of a real person, or to present synthetic content as a genuine recording of a real event. We may refuse, remove or disable any trainer, voice or Output we reasonably believe breaches this section.

07Acceptable use

You must not, and must not allow anyone else to:

• Break the law: use the service in breach of any law or regulation, or to infringe anyone’s intellectual property, privacy or other rights.
• Cause harm: create or distribute material that is defamatory, obscene, hateful, harassing, or that promotes violence or discrimination.
• Mislead: present Outputs as advice from a doctor, lawyer, financial adviser or public authority when they are not.
• Attack the service: probe, scan or test its vulnerability without our written permission, bypass authentication or usage limits, or disrupt it.
• Copy the service: reverse engineer, decompile or extract its source code or models, or use it to build a competing product.
• Scrape: harvest content, templates or data by automated means.

We may investigate suspected breaches and suspend affected access while we do.

08Plans, credits and billing

• Plans: subscriptions are priced by the number of employees covered and billed monthly or annually in advance, as shown on our pricing page or your order form.
• Credits: each plan includes a monthly allowance of production credits, one credit being roughly one finished minute of film. The monthly allowance resets each billing month. Purchased top-up credits roll over for as long as the subscription stays active.
• Taxes: fees exclude taxes. We add GST or other applicable taxes and issue a tax invoice.
• Price changes: we will give at least 30 days’ notice of a price change, which takes effect from your next renewal.
• Exploring before you buy: you can set up an account and explore the platform before subscribing. Producing courses and films requires an active plan or credits.
• Refunds: our Refund Policy explains cancellations, failed-production credits and billing disputes.
• Late payment: if an invoice remains unpaid after notice, we may pause production features until it is settled.

09When a plan ends

If a subscription ends or is not renewed:

• Your records stay yours: administrators keep read access to people, courses, results and certificates, and can still manage their workforce.
• Production pauses: writing and filming new material stops until a plan is renewed. Unused credits are kept for renewal.
• Employees: learners keep access for 14 days, after which their sign-in shows that training is paused.
• Certificates: verification pages keep working, so certificates already issued can still be checked.

You can export your data or ask us to delete your account at any time, as described in the Privacy Policy.

10Confidentiality

Each party will protect the other’s non-public information with at least reasonable care, use it only to perform or benefit from these Terms, and disclose it only to people who need to know it and are bound by similar duties. This does not apply to information that is public through no fault of the recipient, was already known to it, is independently developed, or must be disclosed by law.

11Data protection

Our Privacy Policy explains how we handle personal data. For workforce data and Customer Content, we act as your Data Processor, and our Data Processing Agreement forms part of these Terms. You are responsible for having a lawful basis, and giving any notices, for the personal data you provide to us.

12Exports and other systems

You can export courses as SCORM packages and films as video files to use in other systems, such as an existing learning management system. Once exported, their use in those systems is governed by your arrangements with those providers, not by us.

13Availability and support

We work to keep the service available and to fix problems promptly, and we schedule maintenance to limit disruption. Support is provided by email and chat. Specific availability commitments and service credits apply only where agreed in a signed enterprise agreement.

14Disclaimer of warranties

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT OUTPUTS WILL BE COMPLETE OR ACCURATE.

15Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER EXAMIVERSE TECHNOLOGIES PRIVATE LIMITED NOR ITS DIRECTORS OR PERSONNEL WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED US DOLLARS (USD 100) OR THE AMOUNT YOU PAID US IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability that cannot be limited by law.

16Indemnity

You will defend and indemnify Examiverse against third-party claims, and the resulting losses, damages and reasonable costs, arising from Customer Content, from your use of a person’s likeness or voice, from your breach of these Terms, or from your use or distribution of Outputs in breach of law or of anyone’s rights.

17Suspension and termination

You may cancel at any time; cancellation takes effect at the end of the current billing period.

We may suspend or terminate access if you materially breach these Terms and do not cure the breach within 14 days of notice, immediately for a breach of the Acceptable Use or Custom Trainers sections, for non-payment after notice, or where required by law. Where practicable we will give notice first and a chance to export your data.

Sections on ownership, confidentiality, disclaimers, limitation of liability, indemnity and governing law survive termination.

18Changes to these Terms

We may update these Terms from time to time. We will give account administrators at least 30 days’ notice of material changes by email or in the platform. Continuing to use the service after a change takes effect means you accept the updated Terms.

19Governing law and disputes

These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka, have exclusive jurisdiction over any dispute arising from or relating to them. Before starting proceedings, each party will first try in good faith to resolve the dispute through discussion between senior representatives for at least 30 days.
