1. Acceptance of Terms

Welcome to Examiverse. These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Examiverse Technologies Pvt. Ltd. ("Examiverse", "we", "us", or "our"), regarding your access to and use of our SaaS automation platform, web applications, APIs, and mobile applications (collectively, the "Service").

By creating an account, accessing the Service, or utilizing our APIs, you acknowledge that you have read, understood, and agree to be bound by all parts of this Agreement. If you do not agree with any of these terms, you must cease using the Service immediately.

2. User Account Obligations

To use the features of the Service, you must create a registered account. By setting up an account, you agree to the following obligations:

Credential Confidentiality: You are responsible for keeping your login credentials, passwords, and API keys confidential. You agree to safeguard this authentication information and not disclose it to any third party.
Account Responsibility: You assume sole responsibility and liability for all actions, API commands, video generation orders, and content updates executed under your unique User ID (UID) or workspace.
Truthful Information: You agree to provide accurate, current, and complete registration details and maintain the accuracy of this data.
Breach Notification: You must immediately notify Examiverse of any unauthorized access, login compromise, or suspected security breach of your account at security@examiverse.com.

3. Platform SaaS License

Subject to your compliance with these Terms, Examiverse grants you a limited, non-exclusive, non-transferable, revocable, and non-sublicensable license to access and use our Applied AI SaaS platform for content automation and course rendering.

Prohibited Usage Actions: Under this license, you are strictly prohibited from engaging in the following actions:

Reverse engineering, decompiling, or attempting to extract the source code of the rendering engines, avatar alignment software, or speech models.
Spoofing client applications, forging access tokens, bypassing Firebase Auth rules, or attempting to access database nodes directly without authorization.
Using automated bots, crawlers, scrapers, or other scraping software to query or harvest system templates, media assets, or UI components.
Flooding our cloud API endpoints or bypassing rate-limit headers to cause system downtime.

4. Intellectual Property

The distribution of intellectual property rights between the parties is structured as follows:

Your Uploads & Inputs

You retain absolute ownership and intellectual property rights over all raw syllabus files, proprietary knowledge documents, logo graphics, scripts, and media files that you upload to the Service. By uploading them, you grant Examiverse a temporary, royalty-free license to host, read, and run inference on these files solely to generate the video/audio output for your account. We claim zero ownership over these source files.

Your Generated Media Assets

Upon full settlement of subscription or credit fees, Examiverse grants you an exclusive, perpetual, worldwide, royalty-free, fully paid license to distribute, monetize, copyright, and broadcast the final generated video and audio output files. You hold full ownership of these creative assets.

Examiverse Proprietary Systems

Examiverse retains all right, title, and interest in and to our core software, base AI architectures, proprietary avatar models, system voice models, layout stylesheets, user interface designs, logos, and foundational code templates. No transfer of system ownership occurs under this Agreement.

5. Acceptable Use Policy

You agree that you will not use our AI generation tools to create, host, or distribute content that:

Violates local, state, national, or international laws or regulations.
Infringes upon the trademark, patent, trade secret, or copyright of any third party.
Creates non-consensual deepfakes, synthetic speech, or visual representations of real-world figures or private individuals without their express written authorization.
Contains defamatory, libelous, obscene, harmful, hate-filled, or abusive scripts or graphics.
Simulates financial advisors, medical professionals, or official authorities to deliver misleading advice.

We reserve the right to audit rendering scripts. We may suspend or terminate your account immediately if we determine, in our sole discretion, that your inputs violate these provisions.

6. Payments & Billing

Access to parts of the Service requires a subscription plan or the purchase of rendering credits.

Pricing: Current pricing matrices, limits, and plans are detailed on our Pricing Page. We reserve the right to alter pricing configurations with 30 days' advance notice.
Billing Cycle: Subscriptions are billed on a recurring monthly or annual schedule. Credits do not carry over unless specified by your specific plan tier.
No Refunds: All payments made to Examiverse are non-refundable except where mandated by local consumer protection laws. If you believe there was a billing error, contact billing support within 14 days.
Enterprise MSAs: If you are under an Enterprise contract, the payment terms, SLAs, and credit balances defined in your signed Master Service Agreement (MSA) supersede this section.

7. Disclaimers of Warranties

EXAMIVERSE PROVIDES THE SERVICE ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SYSTEM OPERATIONS, SERVER RUNTIMES, OR GENERATED OUTPUTS.

WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT GENERATION RESULTS WILL BE ABSOLUTELY ACCURATE, ERROR-FREE, OR UNINTERRUPTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EXAMIVERSE TECHNOLOGIES PVT. LTD., ITS DIRECTORS, EMPLOYEES, OR INFRASTRUCTURE SUBPROCESSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

THIS INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, DATA LOSS, LOSS OF CLIENTS, OR LOSS OF BUSINESS CREDIBILITY RESULTING FROM: (A) YOUR USE OF OR INABILITY TO USE THE SAAS PLATFORM; (B) SYSTEM ERRORS OR RENDERING GLITCHES; OR (C) DEFECTS IN SYNTHESIZED AI MEDIA. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100 USD) OR THE AMOUNT PAID BY YOU TO EXAMIVERSE IN THE PAST SIX (6) MONTHS.

9. Indemnification

You agree to defend, indemnify, and hold harmless Examiverse Technologies Pvt. Ltd., its parent corporate entities, affiliates, and licensors from and against any claims, losses, damages, liabilities, and expenses (including attorneys' fees) arising out of or relating to: (a) your uploaded syllabus and source files; (b) your violation of these Terms; or (c) copyright infringement claims based on media generated or distributed by you using the Service.

10. Service Termination

We reserve the right to suspend, restrict, or terminate your account and platform access under the following conditions:

If you violate any provisions outlined in Section 3 (Platform License Restrictions) or Section 5 (Acceptable Use Policy).
Non-payment of subscription fees or credit invoices after a 7-day grace period.
Compliance with directives from legal authorities or hosting infrastructure providers.

Upon termination, your right to access the Service ceases immediately. All clauses regarding Intellectual Property (Section 4), Disclaimers (Section 7), Limitations of Liability (Section 8), and Indemnification (Section 9) survive termination.

11. Governing Law

These Terms and any action related thereto will be governed, construed, and enforced in accordance with the laws of India, without regard to conflict of law principles.

You agree that all disputes, litigation, or arbitrations arising from or associated with this Agreement will be filed exclusively in the courts located in Bangalore, Karnataka, India. Both parties consent to the personal jurisdiction of these courts.
